These terms govern your use of Scanvato and explain your rights, responsibilities, and service limitations.

1. Acceptance of Terms
By accessing or using Scanvato Labs LLC ("Scanvato", "Service", "Platform", "we", "us", or "our"), available at https://scanvato.com, you agree to be bound by these Terms of Use. If you do not agree to all of these terms, you must not use the Service.
We reserve the right to update or modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms. We encourage you to review this page periodically.
2. Description of Service
Scanvato is a Software-as-a-Service (SaaS) platform that allows users to:
- Create static and dynamic QR codes with various content types (URL, vCard, Wi-Fi, text, email, events, PDF, menus, and more)
- Customise QR code appearance with colours, patterns, logos, and frames
- Track and analyse QR code scans with detailed analytics
- Manage QR codes with folders, bulk creation, and team collaboration features
- Download QR codes in multiple formats (PNG, SVG, PDF)
3. Account Registration
To access certain features of the Service, you must register for an account. When creating an account, you agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorised use of your account
You must be at least 16 years of age to create an account and use our Service. By registering, you represent that you meet this age requirement.
4. Subscription Plans and Billing
Scanvato offers both free and paid subscription plans. Paid plans are billed on a recurring basis (monthly or annually) through our payment processor, Lemon Squeezy.
- Free Plan: Limited features and QR code generation quotas as described on our Pricing page.
- Paid Plans: Offer additional features such as increased QR code limits, analytics, bulk creation, team collaboration, custom styling, and more.
- Billing: You authorise us to charge your payment method on file at the beginning of each billing cycle. All fees are non-refundable except as expressly stated herein or required by applicable law.
- Annual Billing: Where offered, annual plans may be priced using a promotional annual equivalent of ten (10) billed months for twelve (12) months of service. Pricing and promotional savings are shown on the Pricing page at the time of purchase.
- Upgrades: If you upgrade from one paid plan to a higher paid plan, the new plan takes effect immediately after successful checkout. Rather than issuing a cash refund for unused time on your previous plan, Scanvato may convert the remaining value of your unused subscription period into service credit that extends the renewal date of the upgraded subscription.
- Downgrades: If you downgrade from a higher paid plan to a lower paid plan, your existing paid plan and features remain active until the end of your current billing period. The lower plan will then begin automatically on the next renewal date.
- Cancellation to Free: If you cancel a paid subscription or move from a paid plan to the Free plan, your paid plan remains active until the end of the current billing period. After that period ends, your account will move automatically to the Free plan.
- Feature and Usage Limits After Plan Changes: When a downgrade or cancellation becomes effective, features, quotas, branding rules, team access, domain access, and QR code limits will be governed by the destination plan. If your account exceeds the destination plan's limits, Scanvato may deactivate or restrict excess resources until usage is brought within the applicable limits.
- No Retroactive Refunds: Except where required by applicable law, plan changes, downgrades, scheduled cancellations, or unused subscription time do not entitle you to retroactive refunds, partial cash refunds, or manual credits outside the automated transition logic described above.
5. Acceptable Use Policy
You agree not to use the Service to:
- Create QR codes that link to or contain malicious software, phishing pages, or any harmful content
- Distribute spam, unsolicited communications, or deceptive content
- Infringe upon any intellectual property rights, privacy rights, or other rights of third parties
- Engage in any illegal activity or promote illegal acts
- Upload or distribute content that is defamatory, obscene, pornographic, violent, or hateful
- Attempt to gain unauthorised access to the Service, other accounts, or computer systems
- Use automated systems (bots, scrapers) to access the Service without our written consent
- Intentionally overload or disrupt the Service infrastructure
- Impersonate any person or entity, or misrepresent your affiliation
We reserve the right to suspend or terminate accounts that violate these policies without notice.
6. Intellectual Property
Our Property
The Service, including its design, features, code, graphics, logos, and trademarks, is owned by Scanvato and protected by applicable intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.
Your Content
You retain ownership of the content you create using the Service (QR codes, uploaded images, logos, PDFs, etc.). By using the Service, you grant us a limited licence to store, process, and display your content solely for the purpose of providing the Service to you.
7. Dynamic QR Codes and Data
Dynamic QR codes created through our Service route through our redirect servers. We collect scan data (device type, browser, location, timestamp) for analytics purposes. You are responsible for:
- Ensuring the destination content of your QR codes complies with applicable laws
- Informing end-users that scan data may be collected, where required by law
- Keeping your QR code destination URLs active and appropriate
8. Team Collaboration
If you invite team members to your account, you are responsible for their actions within your workspace. Team members access your QR codes based on the permissions you assign (Admin, Collaborator, or Limited). You may revoke access at any time.
9. Service Availability and Modifications
We strive to provide a reliable Service but do not guarantee uninterrupted or error-free access. We reserve the right to:
- Modify, suspend, or discontinue any part of the Service at any time
- Perform scheduled or emergency maintenance
- Update features, pricing, or quotas with reasonable notice
10. Limitation of Liability
To the fullest extent permitted by law, Scanvato and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of the Service.
Our total liability for any claim related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
12. Indemnification
You agree to indemnify and hold harmless Scanvato, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
13. Termination
We may terminate or suspend your account at any time, with or without cause, with or without notice. Upon termination:
- Your access to the Service will cease immediately
- Dynamic QR codes will stop redirecting
- We may delete your data after a reasonable retention period (30 days)
- Any unused subscription time will not be refunded, except where required by law
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Scanvato operates, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction.
